A company needs an account so it can immediately receive money from clients and pay suppliers, services and normal operating expenses. For an OÜ or AS, you can consider a local bank, a bank in another European country, or a European payment system / EMI, depending on where the clients and suppliers are located. For work in Estonia, the main currency is EUR: local payment details, IBAN and SEPA are convenient for clients and suppliers within Europe, while USD can be used for contracts outside the EU. It makes sense to choose the account around your actual clients, suppliers and incoming and outgoing payment flows from the start. For an owner from Ukraine or Eastern Europe, this is especially convenient: the company is registered for specific business operations, not simply for an entry in a foreign register.
Unique tax regime (Deferred Corporate Income Tax)
The main feature of the Estonian tax system is 0% tax on undistributed profits.
Tax-free reinvestment: If the company earns a profit and leaves it in the account, investing in development, securities, equipment or real estate, corporate tax (0%) is not paid.
Taxation on distribution: Income tax arises only when money is taken out of the company, including dividend payments, non-business expenses or special benefits.
Tax rate: Tax is calculated on the gross amount distributed at 22%, or using the 22/78 formula on the net dividend amount.
Example: If the company pays the shareholder 78 in net dividends, the income tax is 22, for a total company cost of 100. If the same 100 remains in the company for business use, the tax is 0.

e-Residency Program

Important limitations:

How a company operates for an e-Resident
Registration: The e-Residency application is submitted online, and the card with a USB reader is collected at an Estonian embassy. After that, the company is registered in the Business Register (Äriregister) within a few minutes.
Address and contact person: If company management is located outside Estonia, the law requires a local legal address and a contact person, provided by certified service providers.
Taxation of an e-Resident company:
The company pays corporate tax in Estonia only when dividends are distributed.
If the company creates a Permanent Establishment in another country, for example because all decisions are made there, that country may claim the right to tax the profit. Double Taxation Agreements (DTA) are used to prevent double taxation.

1. Required documents and requirements
No business plan or financial statements are required for the application. Prepare:
Valid international passport: National ID cards and driver's licenses are not accepted an international passport is specifically required.
Digital photo (passport-style): A high-quality color photo on a light background in JPG/JPEG format, taken within the last 6 months.
Motivation letter (12 paragraphs): A brief explanation of your reason for applying, for example: To launch an IT company and work with clients in the EU.

3. Step-by-step application and collection process
Step 1: Submit the application online
1. Go to the official portal of the Estonian Police and Border Guard Board (apply.e-resident.gov.ee).
2. Create an account and complete the application form.
3. Enter your personal information and upload a passport scan and photo.
4. Write a short motivation statement and select the preferred location for collecting the card, for example the Estonian Embassy in Kyiv, Warsaw or another country.
5. Pay the 150 government fee by card.
Step 2: Background check (36 weeks)
The Estonian Police and Border Guard Board (Politsei- ja Piirivalveamet) conducts identity and background checks. By law, the process may take up to 3060 days. Application status is sent by email.
Step 3: Card delivery (13 weeks)
After approval, the e-Residency smart card and USB reader are produced and sent by diplomatic mail to your selected embassy or pickup location.
